Welcome to Olaia Design Co. (“we,” “us,” or “our”). By accessing or using our website, services, or digital materials, you agree to comply with and be bound by the following Terms & Conditions. Please read them carefully before using our services.

1. General Information

Olaia Design Co. provides brand identity, website design, social media management, and related creative services. These Terms apply to all clients, collaborators, and visitors of our website and services.

By engaging with Olaia Design Co., you acknowledge that you are at least 18 years old and have the legal capacity to enter into this agreement.

2. Services

All services provided are outlined in project proposals, contracts, or service agreements sent through our client management system (such as HoneyBook).

We reserve the right to decline or discontinue services at our discretion, including for reasons such as non-payment, scope changes, or breach of contract.

3. Payment Terms

  • A non-refundable deposit is required to begin all projects, as outlined in your individual proposal.

  • Remaining balances are due upon completion of project milestones or before final deliverables are released.

  • Late payments may incur additional fees as stated in the client agreement.

  • Payment processing is handled securely through trusted third-party platforms (e.g., HoneyBook, QuickBooks, or Stripe).

All prices are listed in USD unless otherwise stated.

4. Cancellations & Refunds

Due to the nature of creative services, all deposits and payments made are non-refundable once work has begun.

If a project is canceled by the client before completion, Olaia Design Co. reserves the right to retain any payments made and invoice for work completed up to the date of cancellation.

5. Intellectual Property

Ownership

  • Olaia Design Co. retains ownership of all design concepts, drafts, and working files until the project is paid in full.

  • Upon full payment, final approved deliverables are transferred to the client for use as outlined in the agreement.

  • Original design files (such as Adobe, Figma, or Canva source files) remain the intellectual property of Olaia Design Co. unless explicitly included in the package or purchased as an add-on.

Usage

  • Clients are granted a non-exclusive license to use final deliverables for their intended purpose (e.g., branding, website, or marketing).

  • Designs may not be altered, resold, or redistributed without written consent.

  • Olaia Design Co. reserves the right to display completed work in portfolios, social media, and marketing materials.

6. Revisions & Timelines

Each service includes a set number of revisions as specified in the proposal. Additional revisions or scope changes will incur extra fees.

Timelines are estimates and depend on the client’s responsiveness, content submission, and feedback. Delays in communication or payment may extend delivery time.

7. Client Responsibilities

Clients agree to:

  • Provide necessary content, feedback, and approvals in a timely manner.

  • Ensure all materials (such as logos, photos, or text) supplied to Olaia Design Co. are owned or properly licensed.

  • Review all deliverables carefully before final approval.

Olaia Design Co. is not responsible for errors, omissions, or delays caused by incomplete client materials or missed deadlines.

8. Limitation of Liability

While every effort is made to ensure high-quality work and functionality, Olaia Design Co. is not liable for:

  • Losses or damages resulting from the use or inability to use a website, design, or service.

  • Technical issues caused by third-party platforms (such as Wix, Google, or Instagram).

  • Any indirect, incidental, or consequential damages.

Our total liability shall not exceed the amount paid for the specific project in question.

9. Confidentiality

All client information, project materials, and correspondence are kept confidential. We will not share or disclose information to third parties without consent, except as required by law.

10. Website Use

By using our website, you agree not to:

  • Engage in unlawful or harmful activity.

  • Copy or redistribute content without permission.

  • Attempt to breach website security or access restricted areas.

We reserve the right to restrict or terminate access to our website or services at any time.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, USA, without regard to its conflict of law provisions.

12. Updates to These Terms

We may update these Terms & Conditions periodically. Any changes will be posted on this page with an updated date. Continued use of our services after such changes constitutes acceptance of the new Terms.
